Free Zone Audit in Dubai: DMCC, DIFC and JAFZA Requirements

Free Zone Audit in Dubai: DMCC, DIFC and JAFZA Requirements Your free zone authority sets the rules for preparing and submitting annual accounts. Those rules depend on where your company is registered, its legal structure and any exemption that applies. Corporate tax creates a separate obligation. A Qualifying Free Zone Person (QFZP) must prepare and maintain audited financial statements regardless of revenue. Ministerial Decision No. 84 of 2025 confirms this requirement for tax periods starting on or after 1 January 2025. Before appointing an auditor, confirm your filing deadline, the authority’s auditor requirements, and whether your company needs an audit for corporate tax. Why Free Zone Audit Requirements Differ Each free zone has its own company regulations and filing procedures. A deadline that applies to a DMCC company may differ from the deadline for a DIFC company with the same year-end. Check the requirements for your registered entity. Your licence renewal date, annual accounts deadline and corporate tax return deadline may fall on different dates. Free Zone Audit Requirements By Authority DMCC DMCC’s submission guideline requires member companies to upload audited financial statements and a signed and stamped summary sheet through the Member Portal within 6 months of the financial year-end. The appointed auditor must generally appear on DMCC’s Approved Auditors List. The guideline includes an exception for branches that have a group auditor. The submission requirement applies to subsidiaries and branches too. Confirm any notice or extension affecting your reporting year before setting the audit schedule. DIFC DIFC’s requirements depend on the company type and applicable exemptions. Its current handbook for non-financial and retail private companies lists these filing periods: Non-small private companies: audited accounts within 7 months of the financial year-end. Other private companies: accounts within 9 months of the financial year-end. The handbook states that applicable legislation takes precedence over its compliance calendar. Confirm your company’s classification and audit obligations before relying on an exemption. Source DFSA-regulated entities have separate regulatory requirements. Where DFSA rules require a Registered Auditor, check the firm’s registration before appointing it. A company claiming QFZP status still needs audited financial statements for corporate tax, even if an authority-level exemption applies. JAFZA JAFZA’s published submission guide requires FZE and FZCO establishments to provide an updated audit report annually. The company must pass a resolution appointing its auditor. Submission starts through the Dubai Trade Portal. Required documents include the auditor’s signed and stamped summary sheet and the audit report signed by the company’s manager and stamped by the company. The guide specifies that the auditor must hold a Dubai Economic Department licence. It does not state a filing deadline, so obtain the deadline applicable to your company from JAFZA’s regulations or current instructions. Dubai South and Other Free Zones For Dubai South, Dubai Silicon Oasis, Dubai Airport Free Zone, Meydan, IFZA and other authorities, check the requirements attached to your entity and licence. Ask the authority to confirm: Whether an annual audit is required Whether an exemption applies Which auditors it accepts The submission deadline and required documents Keep written confirmation with your compliance records. Corporate Tax and the QFZP Audit Requirement Every QFZP must prepare and maintain audited financial statements. The AED 50 million revenue threshold that applies to certain other taxable persons does not remove this obligation. Audited accounts are one condition of QFZP status. The company must also meet the rules for qualifying income, adequate substance, transfer pricing and the de minimis limit for non-qualifying revenue. The de minimis limit is the lower of AED 5 million or 5% of total revenue, calculated under the applicable rules. Failure to meet QFZP conditions can remove that status from the beginning of the relevant tax period and for the following 4 tax periods. Agree with your auditor and tax adviser how revenue classifications and supporting records will be reviewed. A financial statement audit alone does not establish eligibility for the 0% rate. For more detail, read our guide to whether free zone companies pay 0% corporate tax in the UAE. Separate Deadlines For Accounts and Corporate Tax The corporate tax return and tax payment are generally due within 9 months of the end of the tax period. Your authority’s accounts deadline may be earlier. For a company with a 31 December 2026 year-end, the published timelines give these dates: Obligation Date DMCC audited accounts submission 30 June 2027 DIFC audited accounts filing for a non-small private company 31 July 2027 DIFC accounts filing for other private companies covered by the handbook 30 September 2027 Corporate tax return and payment 30 September 2027 These dates follow the DMCC submission guideline, DIFC private company handbook and general corporate tax filing period. Confirm any company-specific requirement or extension. Source Schedule the audit around the earliest applicable deadline. Leave time for adjustments, signatures and submission. Documents to Prepare for Your Audit Request the auditor’s document list early. A practical starting list includes: Trial balance and general ledger Bank statements and reconciliation schedules Sales and purchase invoices Customer and supplier contracts VAT returns and reconciliations Payroll and employee benefit records Fixed asset and inventory schedules Shareholder and related-party balances Our external audit document checklist provides further preparation guidance. Include your trade licence, incorporation documents, lease or flexi-desk agreement, board resolutions and shareholder loan agreements. For a QFZP assessment, prepare a revenue schedule showing customer status, activities and supporting contracts. Identifying mainland customers helps the review, but customer location alone does not determine whether income qualifies. Common Free Zone Audit Mistakes Appointing an Auditor Without Checking Eligibility Confirm that the firm meets your authority’s requirements before signing the engagement letter. Check any separate requirements for a regulated entity. Assuming no Revenue Means No Filing An inactive company may still have expenses, bank balances, shareholder funding or reporting obligations. Obtain confirmation of any exemption and the documents needed to support it. Using The Corporate Tax Deadline for Every Filing A September tax deadline does not extend an earlier authority deadline. Record both dates and assign responsibility for each submission.

UAE eInvoicing Deadline 2026: What Businesses Need to Do by 30 October 2026

UAE eInvoicing Deadline 2026: What Businesses Need to Do by 30 October Your invoices may come from different places: accounting software, a sales platform, or a spreadsheet used by one branch. It’s worth checking those processes now, along with the information each invoice contains. For UAE businesses subject to eInvoicing with annual revenue of AED 50 million or more, 30 October 2026 is the deadline to appoint an Accredited Service Provider (ASP). The system must then be in place by 1 January 2027. The Ministry of Finance extended the appointment deadline, but the implementation date stayed the same. Those are the two dates to keep in view when planning for the UAE eInvoicing deadline 2026. Does the 30 October deadline apply to your business? The 30 October deadline applies to businesses whose annual revenue is AED 50 million or more. Businesses below that threshold have a different timetable. If your group has several companies, check each one separately. Start with its revenue, then find out which system it uses to issue invoices and who will handle the ASP appointment. Even companies in the same group may bill customers in different ways. What does appointing an ASP involve? An ASP is a provider accredited under the UAE eInvoicing framework. The Ministry of Finance publishes a list of accredited providers that businesses can check while comparing options. Give each prospective provider examples of the invoices you actually issue. Include a standard sale, a credit note and any transaction your team handles outside its usual billing process. Ask the provider to show how those examples will move through its service. The discussion should cover practical responsibility: Which systems need to connect to the ASP? Who will prepare or correct customer and supplier records? How long will onboarding and testing take? Who will investigate an invoice that fails? What support and technical work are included in the proposed fee? Record the answers. They will be useful when finance, IT and the provider agree on an implementation schedule. What needs to happen before 1 January 2027? Appointing a provider by October leaves the remaining period for connecting systems, preparing records and testing transactions. Under the UAE framework, an eInvoice contains structured data that is exchanged electronically between a supplier and buyer, with relevant data reported to the Federal Tax Authority. Your existing PDF invoice may still show the information a customer expects to see, but sending that PDF alone does not complete the structured exchange described in the Ministry’s guidance. Ask your team to follow a few real invoices from creation to delivery: Where does the customer’s tax information come from? Who chooses the VAT treatment? Can someone change an invoice after approval? Answers to these questions will show which records and procedures need attention before testing begins. Check VAT and accounting records early EInvoicing preparation often exposes differences between how teams record the same kind of transaction. One branch may enter customer details in full; another may rely on a free-text field. Credit notes may also follow a separate approval route. Review a sample from each billing process. Check the information entered, the VAT treatment applied and the person responsible for correcting an error. Where the same mistake appears repeatedly, address its cause in the record or procedure. Businesses seeking VAT services in Dubai can use this stage to review invoice tax information before it passes through the new system. VAT consultants in Dubai can assess the VAT treatment and records, while the ASP explains its technical requirements. Agree on who will act on each finding. How can AMD Audit help you prepare? Start with the invoices your business issues every day. AMD Audit can review samples from each billing system and check whether customer details are complete and VAT has been applied correctly. If the same errors keep appearing, your finance team can fix the records or approval process before testing with an ASP. Frequently asked questions What is the time limit for e-invoices in 2026? Businesses with annual revenue of AED 50 million or more must appoint an Accredited Service Provider by 30 October 2026. They must implement eInvoicing by 1 January 2027. Is there a 30-day grace period for issuing eInvoices? No general 30-day grace period is stated in the Ministry’s eInvoicing penalty notice. Invoices must be issued and sent within the applicable timeframe once the rules apply to your business. Who is exempt from issuing e-invoices? Certain transactions are excluded from eInvoicing, including business-to-consumer sales and specific government, airline and financial services transactions. Each exclusion has conditions. Is e-invoicing compulsory? Yes, for covered transactions once a business reaches its mandatory implementation date. What happens if e-invoicing is not done? Missing the ASP appointment or implementation deadline can result in a fine of AED 5,000 per month or part of a month. Once eInvoicing is mandatory for your business, failing to issue or send an eInvoice on time can result in AED 100 per invoice, capped at AED 5,000 per month.

Top 5 Accounting Mistakes Small Businesses Make in UAE

No business environment in the world can be compared to the one that thrives in the UAE. It is a true haven for an ambitious entrepreneur. However, with these opportunities come primary responsibilities, mostly regarding financial management. Here at AMD Audit, we have observed many small businesses in Dubai and across the Emirates fall into the common pitfalls of accounting. But do not panic. These mistakes are easily avoidable, given a little bit of knowledge and the presence of the experts at your side. So, let’s look closely at ways to avoid the top 5 accounting mistakes made by small businesses: Not Separating Business and Personal Finances It’s tempting, especially in the early days, to treat your business as an extension of yourself. However, sharing financial records with personal expenses is a recipe for economic chaos. Making bookkeeping boring is one thing, but it also spurs some severe penalties toward the Federal Tax Authority, which nobody wants to deal with. The Fix: Set up a Dedicated Financial Lifeline for your Business Open up a business checking account and business credit card. It’ll simplify tracking income and expenses, keep your personal and business finances separated, and make everything more transparent to the tax authority. Pro Tip: Consider a Business Credit Card with Rewards! Many banks offer business credit cards with rewards programs to help your company. Also, earned points or miles can be redeemed for travel, dollar credit to pay for office supplies, and even cash back. This helps you stretch your resources further. Forgetting the Importance of Bookkeeping: Receipts: crammed in a drawer; invoices: lost in the Bermuda Triangle of paperwork. That is not the way to operate a successful business. According to UAE law, a company must have in place an organized set of financial statements for at least five years. Can you even think of cash flow tracking, accurate tax return filing, or proper business decisions if these records are in a mess? The Fix: Get Over Yourself and Get Experts Help Buy a minimal bookkeeping system – software like an easy-to-use QuickBooks or the services of an outsourced professional bookkeeping service provider in UAE such as AMD Audit. Code your transactions consistently, streamline your receipts through a scanning application, and reconcile those bank statements. Did I say consistently? Cloud-Based Accounting Solutions Check into a cloud-based accounting system that you can access anytime. This gives you the power to track cash flow, reporting, and collaborate with your accountant in the cloud even when you are not in your office or country. Most cloud-based solutions have a mobile application. Misunderstanding VAT (Value Added Tax) The UAE has imposed VAT in 2018. It has added another layer of management complexity. Miscalculations of paying excessive or inadequate amounts of VAT will impose heavy penalties. The Fix: Arm Yourself with Knowledge of VAT Know about the system of VAT in the UAE: The FTA website has much information and includes guidelines as well as some informative videos. Getting a consultation with a VAT consultant at AMD Audit can be very beneficial. We can also assist you in registering for VAT, ensure you charge the proper rate, and ease the headache of submitting returns.
